Terms of Service

Plain English, no surprises. These are the rules for using Oselo — as a business owner, as a parent, and as a customer.

These terms apply to everyone who uses Oselo. If you are a business using our platform to manage your operations (a "Subscriber"), additional terms in Section 4 apply to you. If you are a parent using a sports organization portal, Section 8 applies specifically to you.

1. Who We Are and What This Agreement Covers

Oselo ("Nova," "we," "us," "our") is a software platform that provides hospitality and sports organization management tools to businesses ("Subscribers") who use our platform to serve their own customers ("End Users") and members ("Portal Users").

By accessing or using any Oselo service — including oselo.net, nova.wine, any white-label site powered by Nova, or any sports organization portal — you agree to these Terms of Service. If you do not agree, do not use our services.

These terms, together with our Privacy Policy, constitute the entire agreement between you and Oselo.

2. Using Oselo — All Users

You Must Be 18 or Older to Create an Account

You must be at least 18 years of age to create a Oselo account or a parent portal account. Children's data is managed by parents or guardians on their behalf. See Section 8 for details.

3. Tickets, Purchases, and Payments — End Users

Ticket Purchases

When you purchase a ticket through a Oselo-powered site, you are purchasing from the venue or event organizer — not from Oselo. Oselo is the technology platform that processes the transaction on the organizer's behalf.

Refund Policy

Refund policies are set by each individual venue or event organizer. Oselo does not control refund decisions. Contact the specific venue or organizer for refund requests. If you cannot reach them, contact us and we will facilitate.

Payment Processing

Payments are processed by Square or Stripe. By making a purchase you also agree to their applicable terms of service. Oselo does not store your full payment card number at any time.

Gift Cards

Digital gift cards issued through Oselo-powered sites are valid only at the issuing organization. They have no cash value and cannot be transferred or refunded except as required by law.

4. Platform Subscriptions — Business Subscribers

Subscription Plans and Billing

Oselo offers monthly and annual subscription plans. By subscribing you authorize us to charge your payment method on a recurring basis. We will notify you at least 14 days before any price change takes effect.

Free Trial

If we offer a free trial, your payment method will be charged at the end of the trial period unless you cancel before then. We will send a reminder 3 days before your trial ends.

Cancellation and Termination

Your Data as a Subscriber

Your customer data, event data, and business content belongs to you. We will not use it for any purpose other than operating the platform for you. Upon cancellation, you may export your data. We retain it for 90 days then delete it.

Subscriber Responsibilities

As a Subscriber you are responsible for:

White-Label Sites

Subscribers who use Oselo to power a white-label site under their own domain are responsible for that site's compliance with applicable laws. Oselo's name and branding may not appear on white-label sites without our written permission.

5. Intellectual Property

Our Platform

Oselo owns all intellectual property rights in the platform, including its code, design, trademarks, and content. These terms do not grant you any ownership interest in the platform.

Your Content

You retain ownership of any content you upload to the platform (photos, descriptions, menus, etc.). By uploading content you grant Oselo a limited license to display and deliver that content as part of the service. We will not use your content for any other purpose.

Feedback

If you provide us feedback or suggestions about the platform, we may use them to improve our product without any obligation to you.

6. Disclaimers and Limitation of Liability

Read this section carefully. It limits what we are legally responsible for.

Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for losses caused by service downtime, data loss, or technical failures beyond our reasonable control.

No Warranty

Oselo is provided "as is" and "as available." We make no warranty that the platform will meet your specific requirements or that it will be error-free.

Limitation of Liability

To the maximum extent permitted by law, Oselo's total liability to you for any claim arising from your use of the platform shall not exceed the greater of (a) the amount you paid to Oselo in the 3 months preceding the claim, or (b) $100.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill.

Indemnification

You agree to indemnify and hold harmless Oselo from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these terms or your use of the platform in a manner that harms a third party.

7. Dispute Resolution

Informal Resolution First

Before filing any legal claim, you agree to contact us at [email protected] and give us 30 days to resolve the issue informally.

Governing Law

These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any legal action must be brought in the state or federal courts of Lawrence County, Pennsylvania.

Class Action Waiver

You agree to resolve disputes with Oselo on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against Oselo.

8. Sports Organization Portals — Parents and Guardians

When you access a sports organization portal powered by Oselo, you are accessing a service provided by that sports organization (the "Organization"). Oselo is the technology provider. The Organization is responsible for how it uses the portal.

Parent Responsibilities

Children's Data

Player statistics, schedules, and performance records entered into the platform are stored by Oselo on behalf of the Organization. You have the right to access, correct, and delete this information at any time from the portal's Privacy section. See our Privacy Policy for full details.

Portable Career Stats

When you link your child's profile to your parent account, their career statistics become portable across any Oselo-powered organization. This data belongs to you and your child — not to any single organization. You may delete it at any time.

Payments Through the Portal

Registration fees, program fees, and other payments made through a sports portal are collected by the Organization. Oselo facilitates payment processing but is not a party to the transaction. Refund disputes must be resolved with the Organization directly.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these terms by reference. By using Oselo you agree to the Privacy Policy.

10. Changes to These Terms

We may update these terms as our platform evolves. We will notify you of material changes by email or platform notice at least 14 days before they take effect. Continued use after that date means you accept the updated terms. If you do not accept updated terms, you must stop using the platform and cancel your account.
